Articles of Association Review

You will know from my bulletins and updates, and the AGM that we are embarked on a governance and structure review. In order to move forwards with this, we need your agreement to amend our Articles which are currently not appropriate for our structure and function.

To agree our amended articles we (the APM Officers) are convening a virtual general meeting (under Article 15 of the APM Articles of Association) of our members to be held on 19 September 2024 to vote on the following special resolution:

The APM membership is asked to approve and adopt the amended Articles of Association as the new APM Articles of Association, in substitution for, and to the exclusion of all existing Articles of Association of the Association.

Please click here to view the amended Articles to be voted on, with all changes (additions, amendments and deletions) highlighted in red. The Articles are accompanied by a second document which sets out the rationale behind the proposed changes.

We will also be holding two sessions for members on 13 and 29 August 2024 where there will be an opportunity to understand in more detail the changes that have been proposed and ask any questions that you might have. You can still sign up to either of these sessions here:

It is very important for the future of the APM that we have good attendance at the meeting on 19 September 2024. If you have not done so already, please pre-register using the following link:

However, we understand that you may not be able to attend but still want your voice to be heard. Under section 324 of the Companies Act 2006 and Article 22 of the current Articles of Association (Article 28 in the new Articles) you have the right to vote by proxy at the meeting.
